Contributor Deal Addendum
Individually Negotiated
Deal Addenda are individually negotiated and executed. This page describes the standard Deal Addendum framework. Your specific Deal Addendum, if any, will be provided separately and must be signed by both parties to be effective.This Deal Addendum framework describes the terms that may be included in a D³ Contributor Deal Addendum. A Deal Addendum supplements the D³ Contributor Content License & Distribution Agreement (D3-CONTRIBUTOR) and sets forth special arrangements agreed between D³ and a specific contributor. A Deal Addendum is only effective when signed by both D³ and the contributor.
1. Purpose
A Deal Addendum may be used to establish:
- Exclusive license arrangements for specific content or content categories
- Compensation, revenue share, or royalty arrangements
- Co-production arrangements and associated rights
- First-look or right-of-first-refusal arrangements
- Specific distribution windows or platform restrictions
- Content delivery schedules and milestones
- Specific credit requirements
- Any other non-standard terms agreed between the parties
2. Exclusivity
If a Deal Addendum specifies an exclusive arrangement, Contributor agrees not to distribute the specified content through competing channels during the exclusivity period. The scope, duration, and territory of any exclusivity will be specified in the Deal Addendum.
3. Compensation
Any compensation arrangement must be set forth in a signed Deal Addendum. Compensation terms may include:
- Flat fees for specific content deliverables
- Revenue share based on platform performance
- Royalties based on distribution
- Production budgets or advances
D³ does not make verbal compensation commitments. All compensation arrangements must be in writing in a signed Deal Addendum.
4. Conflict with Base Agreement
In the event of a conflict between a Deal Addendum and the D³ Contributor Content License & Distribution Agreement (D3-CONTRIBUTOR), the Deal Addendum controls with respect to the specific terms addressed in the addendum.
5. Requesting a Deal Addendum
To discuss a Deal Addendum, contact D³ at info@dtothe3.com with the subject line "Deal Addendum Inquiry." D³ is not obligated to enter into a Deal Addendum with any contributor.

Deal Addenda are governed by the laws of the State of Texas.
