Master Participant Agreement

This Master Participant Agreement ("Agreement") governs your participation in D³ original programming, productions, events, and related activities ("Productions"). By submitting a participant application or participating in any Production, you agree to this Agreement.

1. Definitions

• "D³" means D³ Media and its affiliates, subsidiaries, officers, directors, employees, agents, and assigns.
• "Production" means any D³ original program, show, competition, event, podcast, or other production in which you participate.
• "Content" means all video, audio, photographs, and other recordings of your participation in a Production.
• "Likeness" means your name, image, voice, appearance, biographical information, and any other identifying characteristics.
• "Program Addendum" means a program-specific addendum that supplements this Agreement for a particular Production.

2. Eligibility

To participate in a D³ Production, you must be at least 18 years of age (or have parent/guardian consent if a minor — see Section 14), be legally authorized to work and contract in the United States, not be subject to any agreement that would prevent your participation, and meet any additional eligibility requirements specified in the applicable Program Addendum.

3. License to Use Likeness and Content

You grant D³ a perpetual, irrevocable, worldwide, royalty-free license to record, film, photograph, and otherwise capture your participation in the Production, use, reproduce, distribute, publicly perform, publicly display, and transmit Content containing your Likeness on D³ Platforms and through D³ distribution partners, edit, reformat, and adapt Content for technical and editorial purposes, create clips, excerpts, and promotional materials featuring your Likeness, use your name, biographical information, and statements in connection with the Production, and sublicense the foregoing rights to D³'s distribution partners. This license does not require D³ to use your Likeness or include you in any Production.

4. Compensation

Unless a Program Addendum specifies compensation, participation in D³ Productions is uncompensated. You are not entitled to any payment, revenue share, prize, or other compensation except as expressly stated in a Program Addendum or separate written agreement signed by D³.

5. Representations and Warranties

You represent and warrant that you have the legal capacity and authority to enter into this Agreement, your participation will not violate any agreement, obligation, or law applicable to you, all information you provide to D³ is true, accurate, and complete, you have not been convicted of a felony or crime involving moral turpitude within the past 7 years (unless disclosed in your application), and you are not currently a party to any legal proceeding that would affect your participation.

6. Conduct Standards

During your participation in any Production, you agree to conduct yourself professionally and respectfully toward all participants, crew, and D³ personnel, follow all directions from D³ production staff, comply with all applicable laws and regulations, not engage in harassment, discrimination, or threatening behavior, not possess or use illegal substances during Production activities, not disclose confidential Production information (see Section 8), and comply with D³ Community Guidelines.

7. Health and Safety

You acknowledge that participation in certain Productions may involve physical activity, travel, or other activities that carry inherent risk. You agree to disclose any physical or medical conditions that may affect your participation, follow all safety instructions from D³ production staff, maintain adequate health insurance during your participation, and notify D³ immediately of any injury or medical emergency during Production activities.

8. Confidentiality

You agree to keep confidential all non-public information about the Production, including Production format, storylines, and outcomes, information about other participants, D³ business operations, personnel, and plans, and any information designated as confidential by D³. This confidentiality obligation begins when you submit your application and continues for 2 years after the Production airs or is otherwise released, or indefinitely for information that remains non-public.

9. Release of Liability

To the fullest extent permitted by law, you release D³ from any and all claims, damages, losses, and expenses arising from your participation in any Production, including claims arising from physical injury or property damage during Production activities, emotional distress arising from your participation, portrayal of you in the Production, and statements made about you in connection with the Production. This release does not apply to claims arising from D³'s gross negligence or intentional misconduct.

10. Indemnification

You will indemnify, defend, and hold harmless D³ from any claims arising from your breach of this Agreement, your conduct during the Production, or any false information you provided to D³.

11. No Obligation to Produce or Air

D³ is not obligated to produce, air, distribute, or otherwise release any Production or any Content featuring you. D³ may edit, modify, or decline to use any Content in its sole discretion.

12. Social Media and Publicity

During and after your participation, you agree to not post spoilers, Production outcomes, or confidential Production information on social media, comply with any social media guidelines provided by D³, not make disparaging public statements about D³, the Production, or other participants, and cooperate with reasonable D³ publicity requests related to the Production.

13. Program Addenda

Participation in specific Productions is governed by this Agreement together with the applicable Program Addendum. In the event of a conflict, the Program Addendum controls. Program Addenda may include additional eligibility requirements, conduct standards, compensation terms, and program-specific rules.

14. Minor Participants

Participants under 18 years of age require written consent from a parent or legal guardian. The parent or guardian must execute this Agreement on behalf of the minor and agrees to be bound by its terms. D³ complies with applicable child labor laws for all minor participants.

15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Texas. Disputes will be resolved by binding arbitration in Texas under AAA rules, except that either party may seek injunctive relief in court.

16. Entire Agreement

This Agreement, together with any applicable Program Addendum, constitutes the entire agreement between you and D³ regarding your participation in Productions.
